We will notify you of material changes by posting the updated Terms on the Platform and may notify you via email or in-app notification. Modifications will become effective 30 days after posting for material changes, and immediately for non-material changes. Your continued use after the effective date constitutes acceptance.

3. The Learn the Fix Platform is a Marketplace

LEARN THE FIX IS A TECHNOLOGY PLATFORM, NOT A SERVICE PROVIDER. The Platform facilitates connections between Learners and independent Instructor contractors. LEARN THE FIX DOES NOT EMPLOY, ENDORSE, OR ASSUME RESPONSIBILITY FOR ANY INSTRUCTOR OR LEARNER. Instructors are not our employees, agents, or franchisees. We do not control, supervise, direct, or set the work methods of Instructors. Any agreement for services is directly between the Learner and Instructor. Learn the Fix is not a party to that agreement.

YOU ACKNOWLEDGE THAT LEARN THE FIX DOES NOT SUPERVISE, DIRECT, CONTROL, OR MONITOR LEARNING SESSIONS AND EXPRESSLY DISCLAIMS ANY RESPONSIBILITY OR LIABILITY FOR THE CONDUCT, ACTIONS, OR OMISSIONS OF ANY USER.

4. Eligibility & Account Registration

You must be at least 18 years old and capable of forming a binding contract. Age Verification: By using the Platform, you represent and warrant that you are at least 18 years of age. Parents or legal guardians may not agree to these Terms on behalf of children under 18.

You agree to provide accurate, current, and complete information during registration and to update it. You are responsible for safeguarding your password and for all activities under your account. You may not create multiple accounts or transfer your account.

5. Instructor Vetting, Screening & Insurance System

5.1 Vetting and Verification Process

  • Instructor Vetting: Learn the Fix vets all Instructors during registration. Our vetting process includes identity verification and, where permitted by law, criminal background checks conducted through third-party vendors. Instructors must provide valid government-issued identification and consent to these checks as a condition of joining the Platform.
  • Background Check Authorization: You understand and authorize Learn the Fix to use your information to obtain background checks and verify your identity from our third-party vendors in accordance with applicable laws, including but not limited to the Fair Credit Reporting Act ("FCRA"). This may include, but is not limited to: verification of social security number, criminal history records from federal, state, and county jurisdictions, driving records, employment history, education background, and any other public records. Instructors agree to inform Learn the Fix of any material criminal convictions that occur after registration.
  • Scope of Vetting: Vetting is conducted at the time of registration and applies to the business owner or principal of the Instructor account. Vetting does not extend to every employee, subcontractor, or agent who may perform services. Background checks are limited to available public records and may not be comprehensive or current.

5.2 Disclaimers and Limitations

  • NO GUARANTEES OR WARRANTIES: NOTWITHSTANDING OUR VETTING PROCESS, LEARN THE FIX DOES NOT AND CANNOT GUARANTEE, WARRANT, OR VERIFY THAT ANY INSTRUCTOR IS SAFE, QUALIFIED, LICENSED, INSURED, TRUSTWORTHY, OR SUITABLE FOR YOUR SPECIFIC NEEDS. VETTING PROVIDES ONLY A SNAPSHOT IN TIME AND DOES NOT ENSURE ONGOING COMPLIANCE, QUALIFICATIONS, OR CONDUCT.
  • No Endorsement: Any description of an Instructor as "verified," "background checked," "vetted," "screened," or with similar terminology indicates only that the Instructor completed a one-time verification process at registration. Such descriptions are not an endorsement, certification, guarantee, or warranty of the Instructor's identity, character, credentials, safety, reliability, suitability, or fitness to perform any particular service.
  • Third-Party Beneficiary: You acknowledge that any third-party consumer reporting agency that Learn the Fix may use to perform background checks is an express and intended third-party beneficiary of this Agreement and may enforce relevant provisions directly against you.

5.3 Insurance System

  • Tiered Insurance System: Learn the Fix implements a tiered insurance requirement system based on service types. See the Insurance System section for details.
  • Self-Reported Information: Insurance affirmations are self-reported by Instructors and are not verified by Learn the Fix. Learn the Fix does not provide insurance to professionals or users and is not an insurance provider or broker.

5.4 Your Ongoing Responsibility

  • Independent Verification Required: You are solely responsible for (i) independently verifying an Instructor's current qualifications, licenses, insurance, and suitability for your specific needs; (ii) your interactions with other Users; and (iii) determining the appropriateness of any Learning Session for your skill level and environment. You should exercise caution and good judgment before and during any Learning Session.
  • No Reliance: You acknowledge that vetting information may become outdated and agree not to rely solely on any verification badges or descriptions when making decisions about engaging with an Instructor.

6. User Conduct & Prohibited Activities

You agree not to, and not to assist others to:

  • Use another person's account, misrepresent your identity, qualifications, or a project.
  • Post Content in an inappropriate category or commit fraud.
  • Harass, abuse, harm, stalk, threaten, or defraud other Users.
  • Post false, misleading, unlawful, defamatory, obscene, or infringing Content.
  • Circumvent or manipulate our fee structure, billing, or payments.
  • Solicit, poach, or contact Users for any purpose not explicitly authorized by the Platform (e.g., to transact off the Platform to avoid fees).
  • Use automated systems (bots, scrapers) to access the Platform without permission.
  • Copy, misuse, or misappropriate Platform information for a competitive service.
  • Damage, disable, overburden, or impair the operation of the Platform.
  • Violate any applicable law or regulation.

7. Payments, Fees, & Cancellations

  • Platform Fees: Learn the Fix charges a 15% Service Fee on all Learning Sessions. How It Works: Instructors set their own session fee (e.g., $100). When a Learner books a session, the 15% Service Fee is added to the Instructor's listed fee. The total amount charged to the Learner is the Instructor's fee plus the 15% Service Fee (e.g., $100 + $15 = $115). Instructors retain 100% of their listed session fee ($100), and Learn the Fix receives the 15% Service Fee ($15). This structure ensures transparency for all Users.
  • Professional Payment Schedule: Instructors (Professionals) will be paid in full within 24 hours of job completion. All payments are processed automatically once the Learning Session is marked as complete in our system. The 15% service fee is deducted before disbursement. Payments are made via the payment method on file with the Platform.
  • Payment Processing: Payments for Learning Sessions may be facilitated through third-party processors. You authorize us to charge your chosen payment method.
  • Payment Authorization: By providing a payment method, you agree to our Stored Payment Terms and authorize Learn the Fix and our payment processors to store your payment information. If you choose your bank account as a payment method, you authorize Automated Clearing House ("ACH") withdrawals from your bank account. Your authorization will remain in effect until canceled in writing. You agree to notify us of any changes to your account information at least five days prior to your next payment.
  • Cancellation Policy: Cancellations must be made through the Platform. This fixed policy applies to all sessions and supersedes any individual cancellation policies set by Instructors.
    • Cancellation more than 24 hours before a session: Full refund of session price.
    • Cancellation between 2 and 24 hours before a session: 50% of the session price is forfeited as a cancellation fee.
    • Cancellation less than 2 hours before a session, or a "no-show": 100% of the session price is forfeited.
    • Instructor Cancellation: If an Instructor cancels, the Learner will receive a full refund.
  • No Refund for Completed Services: Except as required by law or at our sole discretion, payments for completed Learning Sessions are final.
  • Penalty Fees: Learn the Fix may charge penalty fees for fraud, misconduct, late payment, or other violations of these Terms, as determined in our sole discretion. You agree to pay all applicable fees regardless of whether you have an active account.

8. Tracking Communications

To ensure appropriate charging of Platform Fees and compliance with these Terms, Learn the Fix may track communications between Learners and Instructors that occur through features provided by the Platform (e.g., in-app messaging, contact information masking). Learn the Fix may obscure or replace contact information to track the occurrence of communications and prevent fee circumvention. By using the Platform, you consent to such tracking to the extent permitted by applicable law.

9. Intellectual Property; License to User Content

The Platform and its content (excluding User Content) are owned by Learn the Fix and are protected by intellectual property laws. You are granted a limited, non-exclusive license to use the Platform for personal, non-commercial use.

By posting User Content, you grant Learn the Fix a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display such Content in connection with operating and promoting the Platform. You represent you own or have the rights to any Content you post.

Additional User Content Terms: The license granted above includes the right for Learn the Fix to: (a) use, copy, store, perform, display, reproduce, record, distribute, and create derivative works from your User Content; (b) use your name, username, image, likeness, voice, and biographical information in connection with your User Content; (c) publish your User Content on the Platform and in marketing materials, advertisements, and promotions; (d) adapt, modify, translate, and reformat your User Content; and (e) sublicense these rights to third parties. You waive any "moral rights" or similar rights in your User Content. You understand that Learn the Fix may retain, but not display or distribute, server copies of your User Content that have been removed or deleted.

10. No Satisfaction Guarantee; Sole Remedy

LEARN THE FIX DOES NOT OFFER ANY SATISFACTION GUARANTEE, WARRANTY, OR MONEY-BACK GUARANTEE FOR LEARNING SESSIONS. All services are provided by independent Instructors, and any disputes regarding the quality of instruction, teaching style, subjective dissatisfaction, or the outcome of any Learning Session are matters solely between the Learner and Instructor.

SOLE REMEDY: Your sole remedy for any dispute, dissatisfaction, or issue arising from a Learning Session is against the Instructor directly. Learn the Fix is not responsible for refunds, credits, compensation, or dispute resolution for any reason, except as required by law or as explicitly stated in our Cancellation Policy in Section 7. THE CANCELLATION POLICY IN SECTION 7 IS THE ONLY CIRCUMSTANCE UNDER WHICH ANY REFUND MAY BE ISSUED.

NO LIABILITY: To the maximum extent permitted by law, Learn the Fix expressly disclaims any and all liability for claims related to your satisfaction with any Learning Session, including but not limited to claims regarding the quality, effectiveness, appropriateness, or outcome of instruction provided by any Instructor.

11. No Professional Advice; Assumption of Risk

THE PLATFORM PROVIDES ACCESS TO INSTRUCTIONAL CONTENT AND CONNECTIONS. IT DOES NOT PROVIDE PROFESSIONAL, TECHNICAL, OR SAFETY ADVICE.

  • Inherent Risk: You acknowledge and agree that hands-on repair, maintenance, and instructional activities involve INHERENT AND SIGNIFICANT RISKS OF PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER HARM.
  • Your Assumption of Risk: YOU VOLUNTARILY ASSUME ALL SUCH RISKS associated with participating in or providing Learning Sessions. You are solely responsible for determining the appropriateness of any activity for your skill level, using proper safety equipment, and consulting licensed professionals when necessary.

12. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, LEARN THE FIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. NO ADVICE OR INFORMATION OBTAINED FROM US CREATES ANY WARRANTY NOT EXPRESSLY STATED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • EXCLUSION OF DAMAGES: LEARN THE FIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, PERSONAL INJURY, PROPERTY DAMAGE, PAIN AND SUFFERING, EMOTIONAL DISTRESS, OR ANY OTHER INTANGIBLE LOSS.
  • CAP ON LIABILITY: LEARN THE FIX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00), OR (B) THE TOTAL AMOUNT OF PLATFORM FEES YOU HAVE PAID TO LEARN THE FIX IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
  • THE FOREGOING LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

14. Indemnification

You agree to defend, indemnify, and hold harmless Learn the Fix, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) your User Content; (c) your interaction with any User; (d) your violation of these Terms; or (e) any injury, loss, or damage arising from your provision or receipt of a Learning Session.

15. Termination

We may suspend or terminate your access to the Platform at any time for any reason, with or without notice. You may terminate your account at any time. Upon termination, your right to use the Platform ceases immediately.

Survival: The following sections shall survive any termination or expiration of these Terms or your Account: 9 (Intellectual Property), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), 16 (Disputes Between Users), 17 (Governing Law), 18 (Dispute Resolution), and 22 (Electronic Communications).

16. Disputes Between Users

Learn the Fix is not responsible for disputes between Users. You agree to release Learn the Fix from any claims related to disputes with other Users. Users involved in a dispute agree to attempt to resolve it amicably before escalating.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. For any disputes not subject to arbitration, you agree to submit to the personal jurisdiction of the state and federal courts located in New York County, New York.

18. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

  • Informal Resolution: You agree to attempt to resolve any dispute with us informally for at least 30 days by contacting office@learnthefix.com.
  • Binding Arbitration: If informal resolution fails, any dispute shall be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction.
  • Class Action Waiver: YOU AND LEARN THE FIX AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. If a court or arbitrator finds this waiver unenforceable, the arbitration agreement above will be void.
  • Opt-Out: You can opt out of this arbitration agreement within 30 days of accepting these Terms by emailing office@learnthefix.com with your name, account email, and a clear statement of your opt-out decision.
  • Statute of Limitations: You agree that regardless of any statute or law to the contrary, any claim arising out of or related to the Platform or Learning Sessions must commence within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.

19. General Provisions

These Terms constitute the entire agreement between you and Learn the Fix. Our failure to enforce a right is not a waiver. If any provision is found invalid, the remainder of the Terms remains in effect. You may not assign your rights under these Terms. We may assign our rights without restriction.

Force Majeure: Other than payment obligations, neither Learn the Fix nor you will be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, fire, floods, accidents, strikes, epidemics, pandemics, Internet service provider failures, or governmental actions.

20. Copyright Infringement & Digital Millennium Copyright Act (DMCA) Notice
